Technical Implementation

To get started with Sublayer, developers must first install the company's Ruby gem using gem install sublayer, then add it to their Gemfile for project integration. For AI processing, users need to set their OpenAI API key as an environment variable using export OPENAI_API_KEY="your-api-key". This configuration allows the platform to access the necessary AI services.

Developers can create a Generator by defining a subclass of Sublayer::Generators::Base and implementing the initialize and generate methods. Sublayer grants users a worldwide, non-exclusive, irrevocable, royalty-free, and fully paid right to host, store, transfer, publicly display, publicly perform, communicate to the public, reproduce, create derivative works within authorized limits, and distribute their User Content through the Service. This right extends across all media formats and delivery channels, with the emphasis on through-to-the-audience distribution, enabling external service owners/operators to display content without separate liability to users or third parties.

Users must retain all proprietary rights they hold in their posted content and ensure that such content does not infringe upon third-party rights, including copyrights, trademarks, or patents. Sublayer maintains ownership of all visual interfaces, graphics, design elements, and computer code associated with their platform, reserving all rights not explicitly granted to users. The company's Terms of Service outline specific restrictions on reproduction, distribution, and modification of generated content, with strict limitations in place to prevent unauthorized use.

Content management policies include a robust framework for handling infringement notifications. When users report alleged infringement, Sublayer implements a repeat infringer policy that removes or disables access to infringing content upon notice from intellectual property rights owners or authorized agents. The company may terminate repeat infringer accounts and reserve the right to suspend or terminate any account in their discretion based on various factors. In cases where users receive notification of claimed infringement, they have the option to submit a counter-notification through Sublayer's designated agent, providing detailed information about the removed material and their belief that the removal was in error. Sublayer maintains public tracking records of all infringement notifications and responses to ensure transparency and accountability.

Subscription and Payment Terms

Sublayer's service operates on subscription models with automatic renewals, requiring users to obtain prior payment approval for access and usage. The company administers pricing in U.S. Dollars for its subscription-based plans, which are non-refundable except as required by law. Subscriptions automatically renew for periodic charges, with the subscription period initially selected by the user (the "Initial Subscription Period") and subsequently recurring for the same duration (the "Subscription Period") unless canceled by the customer or terminated by Sublayer.

The billing cycle begins on the Subscription Billing Date, the date of the first subscription purchase. Payments process through Sublayer's service or third-party payment processors, charging accrued sums on or before the payment due date for the next Subscription Period. Users must cancel the Subscription Service before the renewal date to avoid being billed for the next periodic Subscription Fee. Failure to maintain a valid payment method results in account deletion and loss of associated information and User Content.

The company's liability is limited to $100 or 12 months of service payment, applying to both indirect and direct damages. Sublayer requires all claims to be arbitrated through the American Arbitration Association under their Consumer Arbitration Rules, using a neutral arbitrator instead of a judge or jury. The arbitration process is designed to be more efficient than court proceedings, with limited discovery permitted. Both parties retain the right to challenge the arbitrator's decision in court, but only under specific circumstances, including disputes arising after the termination of the Terms of Service.

Users have the option to opt out of arbitration within 30 days of agreement, though this requires submission of a formal Opt-Out Notice including full legal name, email address, and statement of intent. The arbitration agreement also permits exceptions for small claims actions in local court, enforcement actions by regulatory agencies, and injunctive relief requests. Enforcement of the arbitration provision remains subject to federal law, with class action claims specifically prohibited while preserving each party's right to seek individual relief.

Legal and Compliance Framework

Sublayer implements a comprehensive framework for content management and user rights enforcement. When users report alleged infringement, Sublayer forwards notifications to the alleged infringer and tracks all such communications through public databases. The company maintains strict procedures for handling repeat infringers, including account termination for persistent violations of copyright and intellectual property rights.

Upon receiving a notification of claimed infringement, users can submit a counter notification through Sublayer's designated agent process. This must include detailed information about the removed material, original location, and a legal basis for challenging the removal. If a valid counter notice is submitted, Sublayer provides both parties with a copy of the notification and restores content within 10-14 business days, assuming no related legal action is filed.

The company's terms strictly limit its liability, capping aggregate responsibility at $100 or 12 months of service payment. This coverage extends to all claims whether based on contract, tort, statute, fraud, or misrepresentation. Sublayer can terminate accounts at its discretion for non-compliance, while users retain full legal name, email address, and consent to federal court jurisdiction when submitting notifications.

Enforcement and Resolution

The arbitration agreement covers all claims whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory, including disputes arising both during and after the termination of the Terms of Service. Unlike standard commercial arbitration, Sublayer's process specifically allows both parties to retain their rights to judicial review, particularly regarding awards of injunctive relief.

Sublayer can unilaterally change the terms of this arbitration provision, though users maintain the right to reject these changes by providing written notice within 30 days. Upon rejection, the account will be immediately terminated, and the surviving arbitration provision will remain as it was prior to the changes. The company reserves the right to modify its pricing structure independently, though any changes must be communicated in advance of implementation.

The arbitration process requires written notice sent via certified mail, Federal Express with signature required, or electronic mail, addressed to Sublayer, Inc. at 40 W. 25th St., 9th Fl., New York, NY 10010. Each party must attempt direct resolution for 30 days following receipt of a Notice of Arbitration. Sublayer will typically reimburse filing fees unless the claim exceeds $10,000 or more than 25 similar claims have been received.

The arbitration proceedings take place in the county and state of the billing address. Parties have the option to conduct the proceedings through documentary evidence only, via telephone or video hearing, or in person at the county or parish level corresponding to the billing address. Settlement offers remain confidential until the final decision, with the arbitrator required to issue a reasoned written decision explaining their findings and conclusions.

In terms of relief, the arbitrator may award any form of relief available in court. If the arbitrator's award exceeds the last settlement offer before the selection of the arbitrator, the higher of $10,000 or the arbitrator's award must be paid, unless the company receives 25 or more similar demands. In cases involving injunctive relief, the party retains the right to seek judicial review in any court of competent jurisdiction not bound by the arbitrator's application or conclusions of law.

Users have the option to opt out of this arbitration requirement within 30 days of agreeing to the Terms of Service. To exercise this right, users must send an email to their account's service provider including their full legal name, email address associated with the Sublayer account, and a statement indicating their wish to opt out of arbitration. This opt-out process terminates the arbitration requirement for that user, and disputes will then be governed by Section 18.2 (Governing Law) of the Terms of Service.
